Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Zapfile (“we,” “our,” or “us”), operated by Zapfile.ai, located at 666 Ontario Street, Toronto, ON M4X 1N1, Canada. By using Zapfile, you agree to be bound by these Terms. If you do not agree, please do not use the service.

1. No Accounts Required

Zapfile does not require you to create an account, provide an email address, or submit any personal information to use the service. Because we hold no account information, these Terms apply to all users equally — including senders and recipients — from the moment they access the site.

2. How the Service Works

Zapfile allows you to upload files from your device, receive a short transfer code, and share that code with a recipient who can then download the file. Files are encrypted in transit using TLS and encrypted at rest using AES-256 during temporary staging on Cloudflare R2 infrastructure. Files are automatically and permanently deleted the moment the recipient completes the download. We do not retain file content, file names, or transfer metadata after deletion.

Because files are not permanently stored, Zapfile is designed for one-time transfers. It is not a cloud storage service and should not be used as one. Once a transfer is complete and the file is deleted, recovery is not possible.

3. Acceptable Use

You agree not to use Zapfile to:

  • Upload, share, or distribute child sexual abuse material (CSAM) or any content that sexually exploits minors
  • Distribute malware, ransomware, spyware, viruses, or any software designed to damage or compromise systems
  • Share content that infringes on the intellectual property rights of others, including copyrighted material without authorisation
  • Harass, threaten, or abuse any individual, including through the sharing of non-consensual intimate images or personal identifying information (“doxxing”)
  • Facilitate or promote terrorism, violent extremism, or illegal weapons distribution
  • Engage in fraud, phishing, or impersonation
  • Attempt to probe, scan, or test the vulnerability of our systems or circumvent any security or authentication measures
  • Use automated scripts, bots, or other tools to access or overload our infrastructure
  • Resell or commercialise access to the service without our written permission

We reserve the right to block room codes, ban IP addresses, and report violations to law enforcement. Serious violations — including CSAM and malware distribution — will be reported to relevant authorities without notice.

4. Your Responsibility for Content

You are solely responsible for the content you upload and share using Zapfile. We do not review, monitor, or moderate file contents before or during transfer. By uploading a file, you represent and warrant that: (a) you own the content or have the necessary rights to share it; (b) the content does not violate any applicable law or regulation; and (c) sharing the content does not infringe the rights of any third party.

5. Privacy

We take privacy seriously. We collect minimal information — limited to basic analytics such as transfer success rates and browser types — to operate and improve the service. We do not collect your name, email address, or any personal identifying information. We do not track individual users across sessions and do not sell or share data with third parties for advertising purposes. Our full data practices are described in our Privacy Policy. We operate in compliance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA).

6. Intellectual Property

The Zapfile name, logo, website design, code, and written content are owned by Zapfile.ai and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written permission. Nothing in these Terms grants you a licence to our intellectual property beyond the limited right to use the service as described.

You retain full ownership of any files you upload. By uploading files, you grant Zapfile only the temporary, limited technical licence necessary to transmit the file to your designated recipient. This licence terminates automatically when the file is deleted, and we make no claim of ownership over your content.

7. Abuse & DMCA

If you believe your copyright has been infringed through use of Zapfile, please submit a notice to [email protected] with: (a) identification of the copyrighted work; (b) identification of the infringing material and its location; (c) your contact information; (d) a statement of good faith belief; and (e) a statement of accuracy under penalty of perjury. Counter-notices may be submitted under the same process. See our full DMCA Policy for details.

Because files are deleted immediately after download, we may be unable to act on DMCA notices received after the transfer has completed. For ongoing or repeat infringement concerns, contact us promptly.

8. Disclaimers

Zapfile is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. We do not guarantee that files will transfer successfully in all circumstances, and we are not responsible for any transfer failures caused by connectivity issues, browser limitations, or factors outside our control.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Zapfile.ai and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the service — including loss of data, loss of profits, or loss of business — even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of these Terms or your use of the service shall not exceed the amount you paid us in the twelve months preceding the claim, or CAD $10 if you have made no payment.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Zapfile.ai and its operators from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in any way connected with: (a) your use of the service; (b) your violation of these Terms; (c) content you upload or share through the service; or (d) your violation of any third party's rights.

11. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue any part of the service at any time without notice. We may also update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of the service after changes are posted constitutes your acceptance of the revised Terms. If you disagree with any changes, please stop using the service.

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree that any dispute arising out of or relating to these Terms or your use of Zapfile will be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.
